Please read these Terms of Use carefully before using Minotiq's services. By creating an account or using our platform, you agree to be legally bound by these terms. If you do not agree, you must not use our services.
Agreement to Terms
Welcome to Minotiq. These Terms of Use ("Terms") govern your access to and use of Minotiq's computer vision-powered fitness tracking platform, including our website, mobile applications, and related services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Minotiq Inc. ("Minotiq," "we," "us," or "our").
Eligibility and Account Registration
Age Requirement
You must be at least 18 years of age to use Minotiq's Services. By using our Services, you represent and warrant that you meet this age requirement.
Account Creation
- •You must provide accurate, current, and complete information during registration
- •You are responsible for maintaining the confidentiality of your account credentials
- •You are responsible for all activities that occur under your account
- •You must immediately notify us of any unauthorized use of your account
- •We reserve the right to suspend or terminate accounts that violate these Terms
Account Security
You agree to use a strong, unique password and to keep your login credentials secure. Minotiq is not liable for any loss or damage arising from your failure to protect your account information.
Use of Services
License Grant
Subject to your compliance with these Terms, Minotiq grants you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal, non-commercial use.
Acceptable Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:
- •Use the Services in any way that violates applicable laws or regulations
- •Attempt to interfere with, compromise, or disrupt the Services or servers
- •Use automated systems (bots, scrapers) to access the Services without permission
- •Reverse engineer, decompile, or attempt to extract source code from our software
- •Impersonate another person or entity, or falsify your affiliation with any person or entity
- •Transmit viruses, malware, or any other malicious code
- •Harass, abuse, or harm another user or gym staff member
- •Collect or store personal data about other users without their consent
- •Use the Services to create a competing product or service
- •Attempt to bypass any security measures or access restrictions
Computer Vision Technology
Minotiq uses advanced computer vision and artificial intelligence to track workouts automatically. By using our Services:
• You consent to being observed by cameras in Minotiq-enabled gym facilities for the purpose of workout tracking
• You acknowledge that our system processes skeletal movement data, not identifiable video footage
• You understand that workout tracking accuracy may vary based on camera angles, lighting, and equipment positioning
• You agree not to intentionally obstruct or interfere with camera systems in partner gyms
Minotiq does not guarantee 100% accuracy in workout tracking, rep counting, or form analysis. Our Services are intended to assist your fitness journey, not replace professional training advice.
User Content and Data
Your Workout Data
You retain ownership of your personal workout data. By using our Services, you grant Minotiq a limited license to:
• Process your workout data to provide and improve our Services
• Create anonymized, aggregated analytics that do not identify you personally
• Use de-identified data to train and improve our AI models
You may export or delete your workout data at any time through your account settings.
User-Generated Content
If you post comments, feedback, or other content ("User Content") through our Services, you:
• Retain ownership of your User Content
• Grant Minotiq a worldwide, royalty-free license to use, display, and distribute your User Content in connection with the Services
• Represent that your User Content does not infringe on any third-party rights
• Agree not to post unlawful, offensive, or inappropriate content
Minotiq reserves the right to remove any User Content that violates these Terms or is otherwise objectionable.
Gym Partnerships and Access
Access to Minotiq's workout tracking features requires membership at a participating gym facility. By using our Services at a partner gym:
• You agree to comply with all gym rules, policies, and membership terms
• You acknowledge that gym access is controlled by the facility, not by Minotiq
• You understand that Minotiq is not responsible for gym membership fees, cancellations, or disputes with gym management
• You consent to basic workout statistics being shared with your gym (unless you opt out in your privacy settings)
If you are no longer a member of a Minotiq-enabled gym, your access to automatic workout tracking will be suspended, but your historical workout data will remain accessible in your account.
Subscription and Payments
Subscription Plans
Minotiq offers various subscription tiers with different features and pricing. Current subscription options and pricing are available on our website.
Payment Terms
- •Subscriptions are billed in advance on a recurring basis (monthly or annually)
- •You authorize us to charge your payment method for all applicable fees
- •If a payment fails, we may suspend your account until payment is resolved
- •All fees are non-refundable except as required by law or explicitly stated in these Terms
- •We reserve the right to change our pricing with at least 30 days' notice
Cancellation
You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will continue to have access to premium features until the end of the paid period.
Free Trial
We may offer free trial periods for new users. If you do not cancel before the trial ends, you will be automatically charged for the selected subscription plan.
Intellectual Property Rights
All content, features, and functionality of the Services—including but not limited to text, graphics, logos, icons, images, audio clips, video clips, software, and AI models—are the exclusive property of Minotiq and are protected by copyright, trademark, patent, and other intellectual property laws.
You may not:
• Copy, modify, distribute, sell, or lease any part of our Services
• Reverse engineer or attempt to extract the source code of our software or AI models
• Use any Minotiq trademarks, logos, or branding without prior written permission
• Remove or alter any copyright, trademark, or other proprietary notices
"Minotiq" and all related logos, product names, and service names are trademarks of Minotiq Inc. All other trademarks are the property of their respective owners.
Third-Party Services and Links
Our Services may contain links to third-party websites, applications, or services that are not owned or controlled by Minotiq. We are not responsible for the content, privacy policies, or practices of any third-party services.
Your interactions with third-party services are solely between you and the third party. We encourage you to review the terms and privacy policies of any third-party services you access through our platform.
Minotiq may integrate with third-party fitness apps, wearables, or services. You are responsible for ensuring you have the necessary rights and permissions to connect these services to your Minotiq account.
Disclaimers and Limitations of Liability
Service Availability
Minotiq provides the Services on an "as is" and "as available" basis. We do not guarantee that the Services will be uninterrupted, error-free, or completely secure.
We may modify, suspend, or discontinue any part of the Services at any time without prior notice.
Health and Fitness Disclaimer
Minotiq's Services are intended to track and analyze your workouts, NOT to provide medical or professional fitness advice. Always consult with a qualified healthcare or fitness professional before beginning any exercise program.
Minotiq is not responsible for any injuries, health issues, or damages resulting from your use of our Services or participation in fitness activities.
Form analysis and feedback provided by our AI are for informational purposes only and should not replace guidance from a certified personal trainer or coach.
Limitation of Liability
To the fullest extent permitted by law, Minotiq, its affiliates, officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
• Your use of or inability to use the Services
• Any unauthorized access to or use of our servers or your personal information
• Any interruption or cessation of transmission to or from the Services
• Any bugs, viruses, or malicious code transmitted through the Services by any third party
• Any errors or omissions in any content or data
In no event shall Minotiq's total liability to you for all claims exceed the amount you paid to Minotiq in the 12 months preceding the claim, or $100 USD, whichever is greater.
Indemnification
You agree to indemnify, defend, and hold harmless Minotiq, its affiliates, officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:
• Your use or misuse of the Services
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your User Content or any content you submit through the Services
Minotiq reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.
Dispute Resolution and Arbitration
Informal Resolution
Before filing a formal claim, you agree to first contact us at legal@minotiq.com to attempt to resolve the dispute informally. We commit to working in good faith to resolve any disputes.
Binding Arbitration
If informal resolution is unsuccessful, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
Arbitration will take place in San Francisco, California, unless both parties agree otherwise. The arbitration will be conducted in English. The arbitrator's decision will be final and binding.
YOU AGREE TO WAIVE YOUR RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
Exceptions
Notwithstanding the above, either party may seek equitable relief (such as injunctive relief or specific performance) in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
Termination
Minotiq reserves the right to suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice, for any reason including:
• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Prolonged inactivity
• Request by law enforcement or government agencies
Upon termination:
• Your right to use the Services will immediately cease
• You will no longer have access to your account or workout data (unless you export it before termination)
• Any fees paid are non-refundable (except as required by law)
• Sections of these Terms that by their nature should survive termination will remain in effect (including intellectual property, disclaimers, indemnification, and dispute resolution)
Changes to Terms
Minotiq reserves the right to modify these Terms at any time. We will notify you of material changes by:
• Posting the updated Terms on our website with a new "Last Updated" date
• Sending an email notification to your registered email address
• Displaying an in-app notification when you next access the Services
Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services and may cancel your account.
General Provisions
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published by Minotiq, constitute the entire agreement between you and Minotiq regarding the Services.
Assignment
You may not assign or transfer these Terms or your account without our prior written consent. Minotiq may assign these Terms without restriction.
Force Majeure
Minotiq shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or internet service failures.

Acknowledgment and Acceptance
By clicking "I Accept" during account registration, or by accessing or using Minotiq's Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and our Privacy Policy. These Terms are effective as of January 22, 2026.
